1. PROGRAM OVERVIEW

Ez Loads Inc. ("Company," "we," "us," or "our") offers a referral program ("Program") that allows eligible participants ("Referrers") to earn rewards for successfully referring new customers ("Referred Customers") to our transportation management system and logistics services.

2. ELIGIBILITY

2.1 Referrer Eligibility

To participate in the Program, you must:

• Be at least 18 years of age
• Have a valid business relationship with Company or be an authorized representative
• Maintain good standing with Company (no outstanding disputes or violations)
• Comply with all applicable laws and regulations

2.2 Referred Customer Eligibility

Referred Customers must:

• Be new to Company's services (no prior account or service relationship)
• Be a legitimate business entity seeking transportation management services
• Successfully complete Company's onboarding process
• Maintain active service for the minimum qualifying period as specified in Section 4

3. HOW THE PROGRAM WORKS

3.1 Making a Referral

Referrers must submit referrals through Company's designated referral system or process. Each referral must include complete and accurate contact information for the Referred Customer. Referrers must clearly identify themselves as the referring party at the time of referral submission (via their unique referral link). Referred Customers will be tracked by Company through the subscription process, with Referrers updated periodically throughout the process, and finally when they become eligible for the Reward.

3.2 Attribution

Referrals will be attributed to the first Referrer who properly submits the prospect's information. Company reserves the right to determine attribution in cases of dispute. Self-referrals are strictly prohibited.

4. REWARD STRUCTURE

4.1 Qualifying Events

Rewards are earned when a Referred Customer:

• Successfully completes Company's onboarding process
• Begins active use of Company's services
• Maintains continuous service and remain current on payments for a minimum of 3 months ("Qualifying Period")
• Meets minimum service volume requirements as determined by Company

4.2 Reward Amounts

Tier 1: $100.00 for each new customer referred with a qualifying subscription
Reward amounts are subject to change with 30 days' written notice

4.3 Payment Terms

Rewards are paid within 60 days after the Referred Customer completes the Qualifying Period. Payments are made via Visa Gift Card, or other method determined by Company. Referrers are responsible for all applicable taxes on rewards received.

5. PROGRAM RESTRICTIONS

5.1 Prohibited Activities

Referrers may not:

• Use spam, unsolicited communications, or deceptive practices
• Make false or misleading claims about Company's services
• Bid on Company's trademarked terms in paid search advertising
• Engage in any illegal or unethical marketing practices
• Refer competitors or entities that may pose a conflict of interest

5.2 Limitation on Referrals

No limit on the number of qualifying referrals per Referrer. Each prospect can only be referred once across all Referrers. Company employees and their immediate family members are not eligible for rewards.

6. COMPLIANCE AND CONDUCT

6.1 Marketing Guidelines

All referral activities must comply with applicable laws, including CAN-SPAM Act, TCPA, and GDPR. Referrers must clearly disclose their relationship with Company when making referrals. Use of Company's trademarks requires prior written permission.

6.2 Data Protection

Referrers must have proper consent to share prospect contact information. Company will handle all referred prospect data in accordance with its Privacy Policy. Referrers must not retain or misuse prospect data after referral submission.

7. PROGRAM MODIFICATIONS AND TERMINATION

7.1 Program Changes

Company reserves the right to:

• Modify these terms with 30 days' written notice
• Change reward amounts, qualifying criteria, or program structure
• Suspend or terminate the Program at any time with reasonable notice

7.2 Individual Termination

Company may terminate a Referrer's participation for:

• Violation of these terms and conditions
• Fraudulent or unethical behavior
• Breach of any agreement with Company
• Any conduct detrimental to Company's business or reputation

8. DISCLAIMERS AND LIMITATIONS

8.1 No Guarantee

Participation in the Program does not guarantee rewards. Company makes no representations about potential earnings. Rewards are contingent upon Referred Customer's continued use of ezLoads TMS.

8.2 Limitation of Liability

Company's total liability for any claim related to the Program shall not exceed the amount of rewards actually paid to the Referrer. Company shall not be liable for any indirect, incidental, or consequential damages.

9. CONFIDENTIALITY

Referrers agree to:

• Keep confidential any non-public information about the Program
• Not disclose specific reward amounts or program mechanics to competitors
• Protect any confidential business information learned through the Program

10. DISPUTE RESOLUTION

10.1 Informal Resolution

Parties agree to first attempt to resolve disputes through good faith negotiation.

10.2 Binding Arbitration

Any unresolved disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Chicago, Illinois.

10.3 Class Action Waiver

Referrers waive the right to participate in any class action or representative proceedings against Company.

11. GENERAL PROVISIONS

11.1 Governing Law

These terms are governed by the laws of the State of Illinois, without regard to conflict of law principles.

11.2 Severability

If any provision is found unenforceable, the remainder of these terms shall remain in full force and effect.

11.3 Entire Agreement

These terms constitute the entire agreement regarding the Program and supersede all prior understandings.

11.4 Assignment

Referrers may not assign their rights under these terms without Company's written consent.

13. ACKNOWLEDGMENT

By participating in the Program, Referrers acknowledge that they have read, understood, and agree to be bound by these terms and conditions.
IMPORTANT NOTICE: These terms and conditions are legally binding. Please read them carefully and consult with legal counsel if you have any questions about your rights and obligations.
